ANSYS announced today that it has acquired SpaceClaim, a leading provider of 3D modeling software for engineers, for a purchase price of $85 million in cash, plus retention and an adjustment for working capital.

Concord, Massachusetts-based SpaceClaim offers fast and intuitive 3D modeling tool called "direct modeling". Its 2014 Service Pack 1 includes LiveReview, a cloud-enabled live 3D collaboration system, formerly codenamed "Connect"; and a new STL Prep for 3D Printing module.

LiveReview provides a secure session where more than one user can engage and contribute simultaneously to editing a model in real time. Even engineers without any 3D modeling software can actively review, edit or model live online.

Likewise, STL Prep for 3D Printing module prepares models for 3D printing efficiently and easily by offering a set of tools to repair printing problems and to modify STL and CAD files. Engineers can use the module to check for and repair water-tightness and intersections, to shell models to save on material, and to create connecting features in order to combine parts of a model after printing. STL Prep for 3D Printing also works with OBJ, CGR, and AMF file formats. STL Prep is an add-on module to SpaceClaim Engineer.

ANSYS (NASDAQ: ANSS) is a global leader of engineering simulation software. SpaceClaim can help simplify and automate what has traditionally been a time-consuming process of preparing geometry for use in a simulation system.

The transaction enables ANSYS to accomplish what would have taken the Company many years to develop an innovative 3D modeling software. SpaceClaim's offerings are also CAD-neutral, allowing users to modify geometries regardless of the system they were created in.

The transaction is expected to be neutral to slightly accretive to ANSYS' earnings per share in 2014 and accretive in 2015 and beyond. Additionally, SpaceClaim has net operating losses (NOLs), which ANSYS will be able to carry forward to reduce future tax payments.
